ASHTABULA COUNTY AMATEUR RADIO CLUB
CONSTITUTION AND BY-LAWS
PREAMBLE
We, the members, wishing to secure for ourselves the pleasures and non-profit benefits of the association of persons commonly interested in Amateur Radio, do hereby constitute ourselves the name: Ashtabula County Amateur Radio Club (ACARC) and do enact this constitution as our governing law. It shall be our purpose to facilitate the exchange of information and general cooperation between members, to promote radio knowledge, fraternalism and individual operation efficiency, and to so conduct Club programs and activities as to advance the general interest and welfare of Amateur Radio in the general community.
Article I — Membership
All persons interested in Amateur Radio without pecuniary interest shall be eligible for membership. Membership shall be by election upon such conditions, as the Club shall provide by its by-laws.
Article II — Officers
The officers of this Club shall be: a President, Vice-president, Secretary, Treasurer, and Trustee. Their election will be held at the regular meeting in January following provisos set in the by-laws.
Article III — Bylaws
By-laws shall be drawn to govern the functioning of the business of the Club. These shall provide for regular and special meetings. At meetings, one-third of the voting membership shall constitute a quorum for the transaction of business.
Article IV — Dues
The Club, by majority vote of those present at any regular meeting, may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the organization within its object as set forth in the Preamble thereof.
Article V — Amendments
This constitution and by-laws may be amended by a two-thirds vote of the total voting membership. Proposals for amendments shall be submitted in writing at a regular meeting and may not be voted on until the next regular meeting.
Article VI — Rules
Robert’s Rules of order shall govern all proceedings.
By-laws
Section 1. Duties of Officers
1. The President shall preside at all meetings of the Club and conduct the same according to the rules adopted, and shall enforce due observance of this Constitution and By-laws, decide all questions of order, sign all official documents that are adopted by the Club, and none other, and perform all customary duties pertaining to the office of President.
2. The Vice-president shall assist the President and shall assume the duties of the President in the absence of the latter.
3. The Secretary will keep a record of the proceedings of all meetings, keep a roll of the members, carry on all correspondence, and read communications at each meeting. It shall also be the Secretary’s duty to keep the Constitution and By-laws for the Ashtabula County Amateur Radio Club and to have the same with him or her at every meeting, both regular and special. The Secretary shall cause all amendments, changes and additions to be noted there on and shall permit the same to be consulted by members on request. The Secretary shall, at the expiration of his or her term turnover everything in his or her possession belonging to the Club to the successor.
4. The Treasurer shall receive and receipt all monies paid to and expended by the Club. He or she shall present a financial report at every meeting, either oral or written. He or she shall maintain a list of members with paid up dues and communicate changes in it to the Secretary as needed. The Treasurer shall, at the expiration of his or her term, turn over all financial records belonging to the Club in his or her possession to the successor.
Section 2. Election of Officers
1. Officers are elected for a term of two years except for the Trustee whose term is concurrent with the term of the station license.
2 .Nominations by members in good standing shall be received at the regular December meeting.
3. Elections will be held at the regular meeting in the month of January provided there is a quorum present. If more than one person is nominated for any office, the Secretary will provide a ballot showing all nominees in alphabetical order. If only one person is nominated for an office they may be elected by voice vote at the January meeting. Nominees polling the majority of votes shall be deemed elected.
4. Officers will be installed and begin their duties with the January meeting.
Section 3. Membership
1. Memberships are of two kinds. Persons holding a valid Amateur Radio License shall be eligible for full (voting) membership. Non-licensed persons shall be eligible for associate (non-voting) membership.
Section 4. Meetings
1. Regular meetings shall be held on the third Tuesday of each month at a time and place as shall from time to time be mutually agreeable to the membership. Special meetings may be called by the President upon request of any three (3) full members of the Club. Notices shall be sent by email and shall be posted in time to be received by the members at least three business days before the time set for the meeting. Only such business as is designated in said notice shall be transacted at such special meeting
2. A quorum shall consist of one third of the voting membership.
3. Robert’s Rules of Order shall govern proceedings at all meetings.
Section 5. Dues
1. Dues and assessments may be levied upon the general membership by a majority of those present at any regular meeting as deemed necessary for the business of the Club.
2. All dues shall be payable the last day of January each year, and if not paid by the first meeting in March the member shall be considered a non-voting member till their dues are paid.
Section 6. Committees
1. The President may appoint committees as he sees necessary for carrying out the purposes of the Club as stated in the Preamble.
Section 7. Dissolution
1. The net earnings of the Club will in no way inure to the benefit of its members, officers, or other private individuals. No final distribution of the assets will be made unless the Club dissolves.
